Professional Services Business Valuation: What B2B Service Businesses Sell For
Professional services is a broad label, not a single comparable-sales group. A staffing agency, IT managed services provider and owner-led consultancy can have different staffing costs, contract terms and owner responsibilities. This guide helps you turn the seller's earnings and client records into an offer worksheet. It does not claim a verified category-wide multiple or an automatic premium for retainers.
Build a comparable-sales worksheet
| Record for each comparable | Why it changes the comparison |
|---|---|
| Service model and sale date | Separate staffing, consulting, agencies and IT services; avoid mixing old market conditions with current offers. |
| Completed price and included assets | An asking price is not a sale; real estate, cash, debt and working capital can change the basis. |
| SDE or EBITDA, with adjustments | Use the same earnings basis for the target and the comparable. Record replacement management costs. |
| Owner duties and client concentration | Document what the buyer must replace and how much revenue depends on individual relationships. |
Ask a broker or valuation professional for the underlying transactions, not just a recommended multiplier. Record exclusions and sample size. If you cannot obtain comparable evidence, treat the multiplier as an assumption to stress-test rather than a market fact.
Test what “recurring” really means
For each major client, record current fees, gross margin, renewal date, cancellation notice, assignment or change-of-control terms, and the person who owns the relationship. Reconcile invoices to collected cash. Separate automatic renewals from month-to-month arrangements and from projects that have merely repeated in the past.
Build a second view showing revenue retained after client departures and fee reductions. Then check delivery capacity: a retainer can renew while becoming less profitable if staffing costs rise. Neither a high retainer share nor a long client history eliminates that risk.
Worked example: replace the owner's work before setting a price
Hypothetical scenario, not a comparable sale: a seller reports $210,000 of SDE. The buyer plans to hire someone for duties performed by the owner and budgets $90,000 a year in fully loaded replacement cost. With all other assumptions unchanged, $120,000 remains before acquisition debt service, taxes and further reinvestment. Do not apply an SDE multiple to that reduced figure and call the result a like-for-like SDE valuation.
If the buyer assumes a 3.0x SDE multiplier solely for sensitivity testing, the indicated price is $630,000. A 10% reduction in normalized SDE produces $189,000 × 3.0 = $567,000. The $63,000 difference shows exposure to an earnings assumption; it does not prove that 3.0x is the correct market price. Enter documented earnings in the SDE and EBITDA calculator, then test financing in the deal calculator.
Transition and financing are separate checks
Write down which introductions, documentation and training the seller will provide, who accepts the work and what happens if a key client leaves. A transition plan does not by itself establish a higher price. Have counsel check contract transfer, confidentiality and restrictive covenants for the relevant jurisdiction.
For SBA-financed acquisitions, do not assume a performance-contingent seller payment is permitted. SBA SOP 50 10 8.1 prohibits seller earnouts. Ask the lender and attorney to approve the proposed financing and transition terms before agreeing to them.
Documents to request before relying on the valuation
- Monthly profit-and-loss statements reconciled to tax returns and bank records.
- A supported add-back schedule with invoices or payroll records.
- Revenue and gross margin by client, plus contracts and renewal history.
- Owner and team responsibilities, capacity, compensation and retention plans.
- A separate budget for working capital, transaction costs and replacement management.
Frequently Asked Questions
Is there one verified multiple for all professional services firms? No. This page does not establish a category-wide multiple. Match completed transactions by service model, size, date and earnings basis, then document the differences from the target.
Does recurring revenue guarantee a higher price? No. Check cancellation and transfer terms, collected revenue, margins and actual client retention. Recurring invoices alone do not establish a valuation premium.
How should the buyer account for replacing the owner? Document the owner’s duties and a realistic replacement cost. Keep the reported SDE calculation separate from the buyer’s cash budget so that compensation is not subtracted twice.
